Herbalife Ltd.’s stock rocketed higher in active trade Friday, after the company fanned hopes that a drawn-out probe by the Federal Trade Commission may be nearing an end.
The dietary and nutritional supplements company disclosed in a regulatory filing late Thursday: “The company is currently in discussions with the FTC regarding a potential resolution of these matters.”
Any resolution into the company’s HLF, +20.52% methods of advertising, marketing, or sale of business opportunities, which was disclosed in March 2014, may come as a relief to shareholders, as it would give speculators betting against the stock one less thing to harp on. Billionaire hedge-fund manager Bill Ackman has gone to elaborate lengths, including publicly releasing a mini documentary, to push his belief that the company was operating a pyramid scheme.
The stock soared 23% in morning trade, putting it on course for its second-biggest one-day percentage gain since the company went public in December 2004. Volume in the first hour of the regular session was about 3.2 million shares, or nearly double the full-day average over the past 30 days, according to FactSet.

Investors didn’t seem to care that the company stated it couldn’t predict the timing of any resolution, or if it would have a “material adverse impact” on its operations.
“The possible range of outcomes include the filing by the FTC of a contested civil complaint, further discussions leading to a settlement which could include a monetary payment and other relief or the closure of these matters without action,” the company stated in the filing. “At the present time, the company is unable to estimate a range of potential loss, if any, relating to these matters.
In an ironic twist, the resolution may finally vindicate Ackman, who has been pushing regulators to investigate the company, but he could still see any profits he made on his bearish bets dwindle as that resolution removes an overhang.

They are now just 7% away from where they closed on March 12, 2014, when Herbalife said it received a Civil Investigative Demand from the FTC.
The company also reported late Thursday fourth-quarter results that beat profit and sales expectations, but cut its profit outlook for 2016, citing unfavorable currency market developments.

Herbalife's stock plunges after disclosure of new member growth reporting errors

Herbalife Ltd.'s stock HLF, +0.37% plunged 13% in premarket trade Thursday, after the nutritional supplements seller disclosed that it overstated growth in active new members because of "database scripting errors." The company said in a regulatory filing that it didn't find the errors earlier because of "limited visibility" into the likely rate of change in the "Active New Member" metric it used. Among some of errors originally reported on Feb. 25, fourth-quarter year-over-year growth in worldwide active new members excluding China was corrected to 3.2% from 16.7%, in U.S. active new members was corrected to 30.7% from 71% and in Europe, Middle East and Africa was corrected to 17.7% from 44%. For the third quarter, North America active new member growth was corrected to 1.8% from 33%. "The company has taken corrective action regarding these issues," the company stated in the filing. Herbalife said the errors do not impact historical financial statements. Prior to Thursday's premarket selloff, the stock had climbed 5.2% year to date, while the S&P 500 had slipped 2.8%.

(Reuters) - Weight-loss products maker Herbalife Ltd will pay $200 million to avoid being classified as a pyramid scheme under a settlement with the Federal Trade Commission, the Wall Street Journal reported, citing people familiar with the matter.
Herbalife shares jumped nearly 12 percent to $66.58 in premarket trading on Friday, and looked set to open at a near two-year high.
The settlement, expected to be announced Friday, will require the company to improve disclosures about its distributors, the people told the Journal.
The settlement will also tie distributor compensation to actual retail sales and force the company to collect receipts, according to the report.
The FTC opened a probe of Herbalife in 2014 following allegations by hedge fund manager William Ackman that it had a fraudulent business model that he compared to a pyramid scheme.
Ackman's Pershing Square Capital Management unveiled a $1 billion short bet against the company in 2012.
Ackman said on Thursday that he was still betting against Herbalife shares and that the FTC probe was unlikely to end well for the company as its business model is not built upon actual retail sales.

ICAHN: Bill Ackman is a liar

Carl Icahn is sticking with his Herbalife investment.
In a statement released on his website, Icahn said that he had not sold any of his shares in the nutrition company and in fact upped his position by 2.3 million shares on Friday.
This comes amid reports from the Wall Street Journal that the hedge fund titan was considering selling his large investment. In the statement, Icahn also took shots at fellow hedge fund manager Bill Ackman, who has been short Herbalife. The two have been famously in a feud over the opposing trade for around two years.

Bill Ackman is the one backed into a corner on Herbalife (NYSE: HLF), Carl Icahn told CNBC a few short days after the billionaire raised his stake the embattled nutrition company by 2.3 million shares and denied reports he was looking to sell his large stake in the company.
"If anyone should feel boxed in, it's Ackman," Icahn said in an exclusive interview with CNBC.com.
"Ackman is an astute student of the market, as I am, and I think he would probably agree that there is very rarely if ever a company with the short interest as it was just announced of 27.2 million shares of the 92 million shares outstanding. Of the 92 million, there 20 percent to 25 percent that are closely held."
He added, "I don't believe any professional short-sellers, would ever take a position in a company with these numbers... As the old saying goes, fools will go where angels fear to tread."
With the comments, Icahn is hinting at a short squeeze in the stock, which StreetInsider discussed yesterday.
