Viacom Inc. Stocks VNV vs. VIA vs. VIA.B?

VIA and VIA.B are different classes of stock. VIA has voting rights and VIA.B doesn't. There are lots more shares of VIA.B outstanding so it is the more liquid of the two. If you don't vote proxies anyway, go with VIA.B. VNV is a 6.85% senior note which is a bond and is not a stock at all.
Edit: VIA and VIA.B have the same dividends and VNV doesn't pay dividends just coupon interest. VIA costs more than VIA.B because governance is worth more than liquidity in this case.

He says Internet-based, consumer-facing firms such as Amazon.com and Google are the wave of the future and could threaten financial service companies. Seidenberg stepped down as Verizon CEO in July 2011.

"The world without walls is now producing the kinds of combinations that were once just a futurist's fantasy: Apple (NASDAQ:AAPL) moving into the TV business, Google jumping into mobile, broadband and media, Verizon combining with AOL and, of course, Comcast (NASDAQ:CMCSA) merging with NBCUniversal," said Seidenberg in an article written for PWP.

Verizon in June acquired AOL for $4.4 billion.

"Across the industry, traditional telecom and tech companies are teaming up with content creators as content searches for direct and efficient distribution to a mass consumer audience. Telecom companies have invested billions to make broadband ubiquitous and they're monetizing that investment by filling the pipes with as many sources of content as possible. This high-margin play delivers good value for investors," said Seidenberg, who left Verizon's board of directors in December 2011.

Seidenberg's legacy includes building out Verizon's "FiOS" fiber-optic network, taking on cable TV firms with video and broadband services.

Seidenberg also expanded Verizon's wireless business. Though Vodafone Group (NASDAQ:VOD) won a high stakes bidding war for AirTouch in 1999, Verizon and Vodafone formed a wireless joint venture.

After Seidenberg left, Verizon in 2013 agreed to buy out Vodafone's 45% stake for $130 billion.

One of Seidenberg's questionable decisions involved negotiations with Apple over the iPhone. AT&T (NYSE:T) became the first wireless firm to sell the iPhone in 2007, giving AT&T a major boost.

"Between hardware, software and connectivity, companies can gain access to the consumer without needing the middle man," Seidenberg wrote in the article. "Technology enabled Netflix (NASDAQ:NFLX) to create a new distribution channel, bypassing movie theaters and television networks to deliver content right to the end consumer."

Financial services firms "live in fear" of what the trend may mean for their industry, he added.

"Amazon (NASDAQ:AMZN), eBay and Google (NASDAQ:GOOGL) threaten banks as the lenders of the future. If you're a small business and need a loan to purchase more inventory and scale your operations, you don't have to go to a bank ¡X you can go to Amazon or PayPal (NASDAQYPL)," Seidenberg wrote. "This disruptive dynamic impacts every industry. Every big, incumbent institution should be aware of this ... and fear it."

As it struggles to reinvent some of its aging entertainment assets under a new CEO, about the only thing that has been keeping Viacom¡¦s share price afloat is the prospect of an imminent merger with its more successful sister company, CBS. That support was removed on Monday, however.
Shari Redstone, who controls the voting shares of both Viacom and CBS along with her father, billionaire Sumner Redstone, said that the family is no longer pushing for a merger of the two companies. Viacom¡¦s stock VIAB -9.40%  dropped more than 7% on the news, taking it close to its 52-week low.
Shares of CBS initially also fell CBS -0.61% , but later rebounded, suggesting some investors are relieved there will be no merger.
The Redstones said in September that they were very much in favor of a combination of the two companies, which used to be part of a single company but were split up in 2006. The thinking at the time was that CBS, which has been performing strongly under CEO Les Moonves, may be able to help pull its sister company out of the doldrums.
So what changed? Shari Redstone said in the letter that she and her father have become more confident in Viacom¡¦s prospects under new CEO Bob Bakish. But there¡¦s probably a bit more to it than that.
The most likely explanation for the on-again, off-again merger is that Les Moonves wouldn¡¦t agree to the deal. The CBS chief executive was less than enthusiastic about the proposal from the beginning, partly because Viacom reportedly wanted CBS to pay a premium for its shares. And he was said to be uninterested in taking on the challenge of fixing his sister company.

Viacom (NASDAQ: VIAB) reported Q1 EPS of $1.04, $0.20 better than the analyst estimate of $0.84. Revenue for the quarter came in at $3.32 billion versus the consensus estimate of $3.18 billion.

Viab °]³øÀu©ó¹w´Á¡AªÑ»ù«o¤j¶^

Viacom Inc (VIAB.O), the owner of MTV, Comedy Central and Nickelodeon, reported second-quarter profits that beat Wall Street's estimates on Thursday, but advertising and distribution headwinds weighed on its stock in early trading.

News that Charter Communications (CHTR.O) had re-tiered five of Viacom's flagship networks to its most expensive programming tier, which will likely result in lower affiliate revenue for Viacom.

That news, which was detailed in a Deutsche Bank analyst note published Thursday, along with the softening ad market, resulted in Viacom's stock dropping as much as 10 percent Thursday morning.

In mid-morning trading, Viacom's shares were down 3.3 percent at $37.97.

Deutsche Bank estimated the re-tiering will reduce affiliate and advertising revenue by about 5 percent, mostly over a 3-year period.

The New York-based media company reported a 4-percent drop in domestic ad sales, in line with analysts' expectations, according to FactSet.

Affiliate revenue ¡X the fees that Viacom collects from cable TV operators as well as Internet distributors ¡X rose 2 percent to $1.16 billion in the quarter, reflecting higher rates.

Revenue from Viacom's filmed entertainment business, which houses the Paramount film studio, jumped 37 percent to $895 million in the company's second quarter ended March 31, breezing past analysts' average estimate of $676.5 million, according to financial data and analytics firm FactSet.

Viacom's revenue from Comedy Central, MTV and other media networks, climbed 1 percent to $2.39 billion, helped by growth in overseas markets.

The company in February said it would focus on six of its brands as part of a turnaround plan orchestrated by Chief Executive Bob Bakish, who took the helm in December. The brands are: Paramount, BET, Comedy Central, MTV, Nickelodeon and Nick Jr.

Bakish has also said he is focused on improving relations with Viacom's affiliates, and licensing less content to video streaming companies like Netflix and Hulu.

Another key focus for Viacom is to turn around the business at Paramount, following years of underperformance.

Should CBS Corporation Merge With Viacom?
  1. In addition to generating much lower revenue, CBS and Viacom own less  blockbuster intellectual property than their rivals. Disney owns Pixar, Marvel, and Lucasfilm, and will soon acquire Fox's top assets. Time Warner owns Warner Bros. (including the DC films) and HBO. Comcast owns Universal and NBC, the highest-rated network in America among 18-to-49-year-old viewers.
  2. Based on those figures, merely merging CBS with Viacom won't create a more competitive media company. But if they wisely pool their resources to acquire or create new intellectual property, while aggressively eliminating redundancies and generating synergies, the new company might start growing its revenue and earnings again.
    But investors should take all these rumors with a grain of salt. CBS and Viacom originally split in 2006 because the conglomerate had become unwieldy under a single brand. Recombining the two halves could cause similar problems, so investors shouldn't think that a merger will alleviate the two companies' biggest headaches.
