AT&T (T) has approached DirecTV (DTV) about buying the the satellite-TV provider in a deal that could be worth at least $40B, the WSJ reports. DirecTV, whose market cap is $39.5B, is open to a deal.
The combined company would have almost 26M pay TV subscribers vs the 30M that Comcast would have if it acquires Time Warner Cable.
As with the Comcast-TWC deal, a major question is whether regulators would authorize a tie-up between AT&T and DirecTV, with broadband competition likely to be the main issue in any review.

新浪財經訊北京時間5月13日早間消息，據國外媒體報導，AT&T(T)正在與付費電視服務運營商DirecTV展開談判，計劃以大約500億美元的價格收購後者，合每股100美元，目前談判已進入後期階段。
彭博社網站作出了上述報導。本月早些時候，《華爾街日報》也曾作出類似報導，但當時報導的交易金額為400億美元。報導稱，交易完成後，DirecTV將作為獨立部門運營，仍由現任首席執行官麥克-懷特(Mike White)負責。但有報導稱，懷特計劃在2015年退休。
當日，DirecTV股價報收於87.16美元，盤後交易中因受上述消息刺激而上漲逾6%。AT&T拒絕就此消息置評。

應該是淨值快要小於零(下面就是負值了，所以roe才是na)，所以，roe才會那麼大。

100元應該mike自己按盈再表，確認預期報酬率是多少，也就是10%。

(Reuters) - DirecTV, the No. 1 U.S. satellite TV operator, said on Sunday it has agreed to sell itself to AT&T for $48.5 billion, in the second mega-deal to shake up the U.S. television landscape this year.The deal with Dallas-based AT&T, which has some TV and broadband services, is the latest in a string of big takeovers the wireless operator has considered. Those include an abortive bid for T-Mobile USA in 2011, as well as a potential takeover of Vodafone Plc that receded as a possibility after Comcast Corp surprised the industry this year with a $45 billion bid for Time Warner Cable Inc.
AT&T said it is offering $95 per DirecTV share in a combination of stock and cash, a 10 percent premium over Friday's closing price of $86.18. The cash portion, $28.50 per share, will be financed by cash, asset sales, financing already lined up and other "opportunistic debt market transactions."
The transaction has a total value of $67.1 billion, including DirecTV's net debt.
As part of the deal, and to facilitate regulatory approval, AT&T will sell its roughly 8 percent stake in Carlos Slim's America Movil. DirecTV has some 18 million customers throughout Latin America, including a stake in Sky Mexico.
AT&T said it expects the takeover to deliver cost savings at an annual rate of $1.6 billion by the third year after closing.
"This is a unique opportunity that will redefine the video entertainment industry and create a company able to offer new bundles and deliver content to consumers across multiple screens - mobile devices, TVs, laptops, cars and even airplanes," AT&T Chief Executive Randall Stephenson said in a statement. "At the same time, it creates immediate and long-term value for our shareholders."
Still, some analysts and investors have questioned why AT&T, which is facing slowing growth, would buy DirecTV at a time when U.S. satellite TV subscriptions have flattened.
The growth of web-based television services could mean that demand for satellite slows further in the coming years.

(Reuters) - U.S. Federal Communications Commission on Wednesday restarted its informal 180-day countdown to review the proposed mergers between Comcast Corp and Time WarnerCable Inc, and AT&T Inc and DirecTV.
The FCC's self-imposed, non-binding "shot clock" will restart at Day 70 for the AT&T-DirecTV merger and Day 85 for the Comcast-Time Warner Cable merger, the agency said.
The agency had paused the clock on the reviews as it figured out how to properly consider and allow the public to review sensitive documents related to agreements with media companies.
The FCC will now restart its collection of public comments on various aspects of the merger, allowing some reviewers to access highly confidential information that is not related to video programming agreements.
The U.S. Court of Appeals for the District of Columbia Circuit, at the request of numerous content companies, is weighing how the FCC should handle the confidential materials related to programming agreements.
Once the court rules, the FCC indicated it may further reset or delay the deadline to ensure enough time for outside parties to comment and for the agency to properly consider those comments.
The country's biggest cable company Comcast has bid $45 billion for the No. 2 Time WarnerCable, while second-largest wireless provider AT&T has bid $48.5 billion to buy biggest satellite TV provider DirecTV.
The FCC has to determine whether the deals are in the public interest. It is reviewing the mergers alongside the Justice Department, whose antitrust review also includes sensitive programming documents but is confidential.
A group of critics of the Comcast-Time Warner Cable merger on Wednesday announced a coalition to press regulators to block the transaction. The "Stop Mega-Comcast" coalition includes satellite company Dish Network Corp, consumer advocacy group Public Knowledge and TheBlaze, conservative commentator Glenn Beck's media company.
Critics say the merger would create a cable and Internet provider that would have too much control over what Americans watch on TV and their web activity, among other things.
Comcast has stressed that it does not compete against Time Warner Cable in any market and that, together, they would offer better services to more consumers.
